BoD meeting quorum - hitman - 05-29-2010

is CEO (if he do not hold any shares) and nominee directors (creditors) counted for the purpose of calculating BOD quorum?

- ciapk - 05-31-2010

Yes CEO even if not a member will be deemed as director and will be counted to form a quorum

let us suppose that ceo is not an elected director( not elected by shareholders) then will he be counted for the quorom of BOD?

Dear,

Directors are competent to appoint any person as CEO So no election is required for CEO, but once he is appointed as CEO then he will be deemed director and will be counted for quorum.
